AVE Capital Advisers provides the following services in Corporate Finance and M&A:

- Proprietary sourcing of transaction opportunities in the small- and mid-cap listed company segment
- Systematic market screening according to documented selection criteria
- Transaction development via institutional network and off-market channels
Financial Analysis and Due Diligence
- Fundamental analysis of business model, competitive position, and financial structure
- Valuation modeling (intrinsic value, DCF, and multiple analyses)
- Scenario analysis and sensitivity modeling
- Structured due diligence reports
Transaction Advisory
- Structuring advice (instruments, terms, governance)
- Negotiation support
- Financing coordination
Value Creation Strategy
- Operational optimization post-closing
- Buy-and-build strategies
- Exit preparation and scenario planning
Target Clientele
AVE Capital Advisers works exclusively with professional institutional investors:
- Private equity funds and investment partnerships
- Family offices with established investment expertise
- Institutional investors (insurance companies, pension funds)
- Corporate development teams
These investors have their own investment governance, internal or external expertise, and independent due diligence capacity. They make investment decisions based on independent analysis and IC decisions.
Regulatory Classification
The services provided are business transaction services under German civil law (§§ 611, 675 BGB) and correspond to the definition of Corporate Finance Advisory according to BaFin classification. They do not constitute investment advice under the Banking Act (KWG) – this would require examination of the investor's personal circumstances and representation of securities as suitable for that specific investor. AVE Capital Advisers does not conduct such suitability assessments.
The services in particular do not constitute investment advisory, investment brokerage, or financial portfolio management under the Banking Act (KWG) or Securities Trading Act (WpIG) and do not fall under regulated financial services under KWG or WpIG. AVE Capital Advisers therefore does not require a license under § 32 KWG or § 15 WpIG.
Furthermore, AVE Capital Advisers does not provide services in the areas of tax consulting, legal consulting, or auditing.
